Eki Co‑Net Reseller Programme – Terms & Condition

These terms and conditions set out the agreement between Eki Global Holding Ltd. (“Eki Co‑Net”, “we”, “us”) and authorised resellers (“you”, “reseller”) who subscribe to a starter, growth, professional, enterprise or  strategic package. By purchasing a subscription and reselling Eki Co‑Net smart cards or wristbands, you agree to comply with these terms. All provisions are governed by the laws of the Republic of Rwanda.
 

1 Reseller eligibility & compliance

  • Legal capacity: You must be a natural person or legal entity legally established in Rwanda or authorised to do business in the territory. You represent that you have full power to enter into this agreement.

  • Registration & licences: Resellers must obtain and maintain any licences, permits or registrations required to operate in their jurisdiction and to process personal data as a data controller or processor under Rwanda’s Data Protection Law.

  • Compliance with law: You agree to comply with all applicable laws and regulations, including the Law Relating to the Protection of Personal Data and Privacy. This includes processing personal data fairly, lawfully and transparently and respecting the data subject’s rights (see Section 9).

  • Good faith: You undertake not to use Eki  products for unlawful or unethical purposes and to act in a manner consistent with our values of environmental sustainability and digital innovation.

2 Payment & taxes

  • Upfront subscription fees: The subscription cost for each package must be paid in full before Certificate is issued and products are released. Payments are non‑refundable except where required by law.

  • Taxes: All prices are exclusive of value‑added tax (VAT) and any other applicable taxes or duties. You are responsible for paying any taxes due on the resale of products within your jurisdiction. If required, Eki will issue tax invoices.

  • Currency: Payments shall be made in Rwandan francs (Rwf) unless otherwise agreed in writing.

  • Late payments: Failure to pay by the due date may result in suspension of deliveries or termination of the agreement.

3 Pricing & resale

  • Recommended retail price: The recommended retail price for each card is 25 000 Rwf. Packages provide discounted wholesale pricing based on volume. You may set the final resale price, provided it does not mislead consumers or harm the brand.

  • Discounted packages: Each subscription tier entitles you to a specific discount off the list price (10 % for Starter, 15 % for Growth, 20 % for Professional, 25 % for Enterprise, 35 % for Strategic). You must not present these discounts as a rebate to end‑users or offer unauthorised promotions.

  • No tampering: You may not alter, replicate or reverse‑engineer the cards or wristbands. Programming training (available in Professional, Enterprise and Strategic packages) is limited to configuring approved digital content.

4 Contract term & upgrades

  • Term: Each subscription runs for twelve (12) months from the date of payment, renewable by agreement. End‑user subscriptions associated with cards purchased under Professional, Enterprise and Strategic packages include four years of digital service and one free card reprint if a card is lost or stolen.

  • Upgrades: You may upgrade to a higher package at any time by paying the price difference. Downgrades are not permitted during the term.

  • Renewal: At the end of the term, the subscription will automatically expire unless renewed. We reserve the right to adjust package pricing or benefits upon renewal.

5 Distribution limitations

  • Territory: Your resale rights are non‑exclusive and limited to Rwanda and other territories expressly approved in writing. You may not export products to countries under embargo or sell to resellers or brokers without our consent.

  • Free delivery: Free delivery within Rwanda is provided to Professional, Enterprise and Strategic package holders. Starter and Growth resellers pay standard shipping rates. For international shipments, we may provide logistical assistance but you are responsible for customs, duties and import compliance.

  • No sub‑licensing: You may not assign or transfer your subscription or authorise others to resell products without prior written approval.

6 Marketing obligations

  • Brand compliance: You must use Eki Co‑Net trade names, logos and marketing materials in accordance with our brand guidelines. Do not modify or create derivative works without prior approval.

  • Environmental messaging: When marketing the products, emphasize their eco‑friendly benefits and the fact that each purchase helps reduce paper waste and contribute to tree‑planting initiatives.

  • Accuracy: All marketing and sales materials must present the products accurately, including features such as effortless contact exchange, unlimited taps and scans, eco‑friendly design and analytical tools.

  • Misrepresentation: Do not make false or misleading claims about discounts, product capabilities, delivery timelines or warranty terms.

7 Support & compliance with end‑user terms

  • Training: We provide training for all packages on product usage, sales strategies and compliance. Professional, Enterprise and Strategic resellers also receive training on programming the NFC chip.

  • 24/7 support: Eki offers round‑the‑clock technical support for resellers and end‑users.

  • End‑user terms: You must ensure that end‑users accept the Eki end‑user agreement and abide by our acceptable‑use policy. Resellers may not alter or waive any terms of the end‑user agreement.

8 Data protection & user rights

  • Compliance with the Data Protection Law: As a reseller, you are a data controller when collecting personal data of end‑users. You must process personal data lawfully, fairly and transparently and only for specified purposes. Personal data must be accurate, kept up to date and retained only as long as necessary.

  • User rights: Data subjects have rights under Rwanda’s Data Protection Law, including the right to personal data, the right to object to processing, the right to data portability, the right not to be subject to automated decision‑making, the right to restrict processing, the right to erasure and rectification. You must respect and facilitate these rights.

  • Consent: Where processing is based on consent, you must obtain free, informed and unambiguous consent and ensure that consent can be withdrawn at any time.

  • Security measures: You must implement appropriate technical and organisational measures to protect personal data against unauthorised or unlawful processing, accidental loss, destruction or damage.

  • Data transfers: Personal data may not be transferred outside Rwanda without complying with Articles 48–52 of the Data Protection Law. International transfers require contractual safeguards and, where necessary, authorisation from the supervisory authority.

  • Breach notification: In case of a personal data breach, you must notify Eki  immediately and cooperate in providing notifications required under Articles 43–45 of the law.

9 Termination

  • Termination for cause: We may terminate this agreement immediately if you fail to pay fees when due, breach these terms, misuse the products, infringe intellectual property, violate data protection obligations or engage in fraudulent or illegal activities. You may terminate for a material breach by Eki that remains uncured for thirty (30) days after written notice.

  • Effect of termination: Upon termination or expiration, all unpaid fees become immediately due. You must cease marketing and selling the products, return or destroy marketing materials and stop using our trademarks. End‑users’ rights to use the cards and digital services continue according to their subscriptions.

10 General provisions

  • Limitation of liability: To the maximum extent permitted by law, neither party is liable for indirect, consequential or punitive damages. Our aggregate liability is limited to the amount you paid for the subscription during the twelve months preceding the claim.

  • Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, acts of government or network failures.

  • Modifications: We may update these terms to reflect changes in law or business practices. Updated terms will be posted on our website and will apply to subsequent renewals or upgrades.

  • Governing law & jurisdiction: These terms are governed by Rwandan law. Any dispute arising out of or in connection with this agreement shall be submitted to the competent courts of Kigali, Rwanda.

By subscribing to the reseller programme, you acknowledge that you have read, understood and agreed to these terms and conditions.
